Effective 14 October 2026. These terms govern the website e1pi.com and the E1pi application.
1. The agreement
These terms are an agreement between you, or the company you represent (the "Customer"), and Global Power Source Pte Ltd, Singapore ("E1pi", "we", "us"). By using e1pi.com, registering for a demo or trial, or installing the E1pi application, you accept these terms. If you act for a company you confirm that you are authorised to bind it. Our Privacy Policy forms part of these terms.
2. The service
E1pi is an AI platform for the back office. The Customer downloads the E1pi application for macOS or Windows, signs in with the account created on e1pi.com, and the application installs itself on the Customer's own computer and connects to the accounting or ERP software the Customer already runs. Updates are delivered through the same application when the Customer chooses. The service includes the reports, checklist skills, trade-document generators, packing and carrier skills, self-install and updates described on e1pi.com at the time of use.
3. Accounts
- Registration and sign-in use the Customer's Microsoft work account. The Customer is responsible for the people it admits to its installation, for their credentials and for everything done under those credentials.
- The Customer's administrator controls which users, tools and skills are enabled and may view and record every call the AI makes on the installation.
- We may suspend an account that is used in breach of these terms or that presents a security risk, and will tell the Customer why.
4. Trial, subscription and fees
- New Customers receive one month free on their live data. The trial may be ended by either side at any time, with no questions asked.
- After the trial, E1pi is provided on a fixed monthly subscription per company, with unlimited users and unlimited AI usage. There are no per-token, per-credit or per-seat charges. The monthly figure is agreed in writing with the Customer before the first invoice.
- Subscriptions are invoiced monthly in advance and may be cancelled at any time; access continues to the end of the period already paid. Fees exclude applicable taxes.
- We may change the subscription fee with at least 30 days' notice; the change applies from the next billing period.
5. Licence
- During the subscription, E1pi grants the Customer a non-exclusive, non-transferable licence to install and use the E1pi application on computers the Customer controls, for the Customer's internal business.
- The application's code is readable on the Customer's computer so that the Customer's IT staff can review it. It is not open source. The Customer may not redistribute, sell, sublicense, rent or publicly host the application, remove notices, or use it to build a competing product.
- Skills, prompts and configuration the Customer creates remain the Customer's. Improvements to the E1pi platform remain E1pi's.
6. Customer data and responsibilities
- The Customer owns its data. Books, documents, conversations and tool-call history stay on the Customer's installation under the Customer's control, as described in the Privacy Policy.
- The Customer is responsible for the accuracy of the data in its ERP and bank feeds, for having the right to connect the third-party services it connects (Microsoft 365, WhatsApp Business, Google, Maersk, Tally Prime, SAP, QuickBooks and others), and for complying with those providers' terms.
- The Customer must keep its own backups of its ERP and of the installation, and must keep the computer running E1pi patched and physically secure.
- The Customer must not use E1pi for anything unlawful, to send unsolicited messages, to infringe others' rights, or to attempt to gain access to systems it is not authorised to use.
7. AI output and approvals
E1pi drafts, checks and prepares; a person decides. Every voucher, payment, message, document or booking that E1pi prepares is presented for review and is only posted, sent or committed after a user approves it. AI output can contain errors. It is not accounting, tax, legal or other professional advice, and the Customer remains responsible for its books, filings, payments and communications. The Customer should not approve anything it has not checked.
8. Availability and support
Because E1pi runs on the Customer's own computer, availability depends on that computer, the Customer's network and the third-party services connected to it. We provide updates, fixes and support by email, Microsoft Teams and WhatsApp during Singapore business hours and do our best to respond quickly, but we do not guarantee uninterrupted or error-free operation. Hosted services provided by E1pi (such as sign-in and downloads) may be paused for maintenance with notice where practical.
9. Intellectual property
E1pi, its code, models, skills, designs, documentation and trade marks are owned by Global Power Source Pte Ltd or its licensors. No rights are granted other than the licence in section 5. Feedback you give us may be used to improve the service without obligation.
10. Confidentiality
Each side will keep the other's non-public information confidential and use it only for this agreement, except where disclosure is required by law. This obligation continues for three years after the agreement ends.
11. Warranties and liability
- E1pi is provided "as is". To the extent permitted by law we exclude all implied warranties, including fitness for a particular purpose.
- Neither side is liable for indirect or consequential loss, loss of profit, loss of data (except where caused by our breach of section 10) or business interruption.
- Our total liability under this agreement in any 12-month period is limited to the subscription fees paid by the Customer for that period.
- Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or anything that cannot be limited by law.
12. Termination
Either side may end the subscription at any time by notice in writing; the Customer may simply stop paying at the end of the current period. We may end the agreement immediately for a material breach that is not fixed within 14 days of notice. On termination the licence ends and the Customer must stop using the application; the Customer's data remains on the Customer's computer and may be kept or deleted by the Customer.
13. General
- These terms are governed by the laws of Singapore and the courts of Singapore have exclusive jurisdiction.
- If a clause is unenforceable the rest remains in force. A failure to enforce a right is not a waiver of it.
- Neither side may assign this agreement without the other's consent, except to a successor of its business.
- We may update these terms; the effective date at the top changes when we do, and material changes are announced on e1pi.com. Continued use after a change is acceptance of it.
